How to conduct a cash capital increase with Qonto in France ?

What is a cash capital increase?

A cash capital increase involves bringing new funds into your company. Investors contribute money and the share capital increases either by creating new shares/units, or by increasing the nominal value of existing securities.

Main formalities to complete:

  • Increase decision (extraordinary general meeting or sole partner's decision)
  • Opening of the dedicated account and deposit of funds by subscribers with certificate issuance (Qonto supports you with this step)
  • Acknowledgment of completion by the management body
  • Publication in a legal announcements journal (if mandatory according to the company form)
  • Filing at the registry (M2 form, amended articles of association, minutes)

⚠️ This operation is different from other forms of capital increase, such as contributions in kind (goods, equipment) or incorporation of reserves, which are not handled by Qonto.


How to submit a capital increase request ?

Before making a request, verify that your operation meets Qonto's eligibility conditions.

To initiate your request:

  • Log into the Qonto account of the company concerned by the operation
  • Go to the Settings section (left column, at the bottom)
  • In the Organization section, click on Capital increase
  • Follow the guided steps in the interface

⚠️ Important: This feature is accessible exclusively from a computer by the account holder. It is also reserved for companies whose legal form allows a capital increase and is not available for Sole proprietorships, Micro-enterprises/self-employed, EIRL or Associations.


Capital increase process overview

Opening of the dedicated account You submit the required documents so we can create a temporary account dedicated to your capital increase.

Subscription payments A unique IBAN is assigned to each subscriber and communicated by Qonto to the account holder for wire transfers. Their receipt is visible in real-time in your Qonto space.

Issuance of the certificate of deposit of funds Once the funds are received and validated, your deposit certificate is issued by the notary within 2 business days, then made available in your Qonto interface and also sent by email.

Release of funds The release of funds occurs within 3 business days after receipt of the document justifying completion of the operation.

What are the service fees for a capital increase?

Qonto applies simple and transparent pricing, calculated on the total amount paid (share premium included).

These fees include opening the dedicated account, issuing the certificate of deposit of funds by our partner notary, as well as releasing the funds to your business account. Throughout the process, you are supported by our team dedicated to capital increases, available to answer your questions and guide you at each step.

  • Fees won't exceed 500 €  excl.VAT.
  • The service is available only for operations with maximum 50 subscribers

  • Fees are charged when funds are released

Important: Qonto does not handle legal formalities (drafting/acknowledging minutes, legal announcements journal, registry filings, etc.), which remain your responsibility. We advise you to contact your legal formalist, your accountant, or our partner LegalPlace to complete these procedures.
