The publication certificate from the legal announcement journal (Journal d'Annonces Légales - JAL) is an official document proving that your capital increase has been published in accordance with French regulations.
Qonto will request this certificate in the following cases:
- Fixed capital companies: systematically for any capital increase
- Variable capital companies: only if the operation has modified the statutory thresholds (maximum capital mentioned in your bylaws)
This certificate is essential for us to release the capital increase funds to your current account.
What are the steps to publish your legal announcement?
1. Prepare the necessary documents
Before starting the publication, make sure you have:
- The general meeting minutes (or sole shareholder's decision) recording the increase
- Your updated bylaws mentioning the new capital
- Company information: SIREN number, registered office, legal form
2. Choose a legal announcement journal (JAL)
You must publish in an authorized JAL in the department of your registered office. Here are some options:
💡 You are free to choose the JAL of your choice, as long as it is authorized in the department where your registered office is located. To verify a journal's authorization, consult the list of authorized journals available on your prefecture's website.
3. Publish the announcement online
Most platforms offer a guided form. You will need to provide:
- Company name and legal form
- Old and new capital amount
- Capital increase amount
- General meeting date
- Increase method (cash contribution, contribution in kind, incorporation of reserves...)
- RCS and registration city
Once the form is completed and payment made, your announcement will be published within 24 to 48 hours.
4. Receive your publication certificate
The publication certificate will be automatically sent to you by email (PDF format) within 24 to 72 hours after publication.
If you don't receive it, contact the JAL directly through their support service.
5. Submit the certificate to Qonto
Once you receive your certificate, you must upload it to your Qonto account so we can release the funds.
How to proceed?
- Log in to your Qonto account from a computer
- Access the Capital Increase section
- Go to Settings
- Navigate to the Capital Increase section
- Access your capital increase dashboard
- Click on the arrow to open the document upload area
- Upload the JAL certificate
- Click "Submit"
6. Fund release
Once the document is validated by our team, we will proceed with the fund release within 3 business days. The funds will be transferred to your Qonto current account and the service fees will be deducted.
