What is a capital deposit certificate?

The capital deposit certificate is an essential document that confirms the cash capital paid in during the incorporation of your company ✨ It is the official proof that the shareholders have deposited the funds required to create the company.

This document is required to register your company on the One-Stop Shop (Guichet unique) website.

Availability: With Qonto, you receive your capital deposit certificate:

  • In digital format within 12 business hours
  • In paper format within 6 business days at the account holder’s personal address

What information is included in my capital deposit certificate?

For your capital deposit certificate to be valid, it must contain specific mandatory information.

You will find:

  • Company name
  • Legal structure of the company
  • Registered office address
  • Identity and allocation of cash contributors
  • Certificate validity date (6 months from the date of signature by the notary)

☝️ Important point: The date of signature of the final articles of association must be later than the certificate signature date.

Why doesn’t my total share capital appear on the certificate?

The capital deposit certificate only mentions cash contributions, meaning the amounts paid in by shareholders.

Other types of contributions do not appear on this document:

  • Contributions in kind: Physical assets, premises, vehicles, equipment
  • Contributions in industry: Skills, know-how, professional expertise

These contributions are only mentioned in your articles of association. The certificate focuses exclusively on funds deposited in cash or by transfer.

💡 Note: Do not confuse the capital deposit certificate with the list of subscribers — these are two separate documents.

What is the list of subscribers and do I need this document?

The list of subscribers is mandatory for registering a SAS/SASU but is not required for SARL/EURL.

This document provides detailed information about contributions:

  • Shareholders contributing to the capital
  • Nature of contributions (cash or in kind)
  • Amounts of these contributions
  • Number of shares received in return

Important: This document is not provided by Qonto except in end-to-end company creation. It is related to your articles of association and is generally provided by the person or platform drafting your statutes (notary, legal expert, or legal platform).
